Prequel Inc., a legal entity incorporated and registered in Delaware, having its registered office at: 6799 Collins Ave., Office 1602, Miami Beach, FL, 33141, is a sponsor of the Contest and will conduct the Contest substantially as described in these Terms and Conditions.

By entering the Contest, the Entrant (or "You") agrees to abide by these Terms and Conditions, Contest announcements and decisions of Prequel, which are fully and unconditionally binding in all respects. Prequel reserves the right to modify these Terms and Conditions and Contest announcements at its sole discretion with prior notification provided via Prequel’s website, app or social media accounts. You are responsible for tracking Terms and Conditions and Contest announcements updates published by Prequel from time to time. By participating in the Contest you expressly agree to the updated Terms and Conditions and Contest announcements.

Prequel reserves the right to refuse, withdraw, or disqualify any entry at any time at its sole discretion. By entering the Contest, You represent and warrant that You are eligible to participate based on eligibility requirements explained in these Terms and Conditions. You also agree to accept the decisions of Prequel in relation to the Contest as final and binding.

Both individual and corporate entrants are allowed. Individual entrants and winners must be at least 18 years of age, unless otherwise stated or posted. Corporate entrants and winners must ensure their entity is duly registered in accordance with the applicable law and is a fully operating entity. Multiple entries per entrant are allowed in the Contest.

Entrants must provide entries as required in the Contest announcement in order to be eligible.

Entrants must input hashtags as required in the Contest announcement to their entries in order to be eligible. Entrants grant Prequel permission and right to repost Entrants’ entries which contain input hashtags throughout social media.

Entries received after the deadline set forth in the Contest announcement are ineligible, null, and void. Prequel will not be responsible for and will not consider incomplete or incorrect entries. Prequel is not responsible for entries that are sent but not received by Prequel for any reason.

The Contest is subject to applicable laws (including federal, state, and local laws) and regulations and void where prohibited by law. Prequel employees, subsidiaries, affiliates, suppliers, partners, and directors (collectively the "Employees"), as well as members of an Employees' immediate family and/or those living in the same household of Employees are ineligible to participate in the Contest.

NO PURCHASE IS NECESSARY TO ENTER OR WIN THE CONTEST. THE CONTEST IS SUBJECT TO ALL APPLICABLE LAWS (INCLUDING FEDERAL, LOCAL AND MUNICIPAL) AND REGULATIONS. VOID WHERE PROHIBITED.

The Contest shall begin on December 9, 2022 at 00:00 UTC and shall end on December 31, 2022 at 23:59 UTC. Specified period shall be referred to as the Entry Period. To participate in the Contest, You shall deliver your Entry within Entry Period.

Eligible entrants can enter the Contest by following the criteria which will be published by Prequel in the Contest announcement.

As a participant, your entry must fully meet all of the Contest's requirements, as specified in these Terms and Conditions and Contest announcement, in order to be eligible to win a prize. Incomplete entries or those that do not adhere to these Terms and Conditions, Contest announcement or other specifications will be disqualified at Prequel's sole discretion.

Winners of the Contest will receive one or several of the following prizes:
The actual/appraised prize value may differ at the time the prize is awarded. The prize(s) shall be determined solely by Prequel. There shall be no cash or other prize substitution permitted except at Prequel's discretion. By accepting the prize, the selected Winner grants permission for Prequel to use the Winner's likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

All prizes will be awarded via PayPal or Apple Gift Card.

Contest Winners will be selected by the Prequel’s internal committee which will select the prizes for the Winners. Prequel’s internal committee will select Winners of the Contest on the basis of the following criteria: (i) image is created in the Prequel app using Fantastic AI Avarats instrument; (ii) creativity of the image; (iii) uniqueness of the image; (iv) authorship of the image (the post with the image must be the original source and cannot be taken from another source); (v) supplementary, the level of involvement of other users of the social network under the post with the image (likes, comments) may be taken into account.

Prequel will notify the Winners of the Contest via direct messages in TikTok and Instagram. Winner shall respond to the Prequel award notification within 3 calendar days of the notification being sent.

Prequel is not responsible for nor shall have no liability for Winner's failure to receive notices due to security settings. Nor shall be Prequel liable for the Winner's provision of incorrect or otherwise non-functioning contact information.

If the Winner: (i) fails to claim the prize within 3 calendar days from the time the award notification was sent, (ii) is found ineligible, or (iii) does not complete and return an executed declaration and release within the specified timeframe, the prize may be forfeited and an alternate Winner. Receipt of the prize by the Winner is upon the condition of compliance with applicable laws and regulations.

IF THE WINNER VIOLATES ANY OF THESE TERMS, THE WINNER (AT PREQUEL'S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

By submitting an Entry into the Contest, You understand and agree that Prequel, any individual acting on the Prequel's behalf, and the licensees, successors, and assigns of Prequel shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, contents of your Entry, name, photo, portrait, voice, likeness, image, statements about the Contest, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration.

By submitting an Entry to the Contest, you warrant and represent that the Entry constitutes an original work and does not infringe upon anybody's intellectual property rights.

In case of violation by Your Entry of third-party intellectual property rights, You agree to defend or settle against such claims at your sole expense, and You agree to indemnify, defend and hold harmless Prequel from any such claims.

In its sole discretion, Prequel reserves the right to modify, suspend, cancel, or terminate the Contest, should non-authorized human intervention, a bug or virus, fraud, or other causes beyond Prequel's control, impact or corrupt the security, fairness, proper conduct, or administration of the Contest.

Prequel, in the event of any of the above issues, may determine Winners based on all eligible Entries received prior to and/or after the action taken by Prequel. Entrants who tamper with or attempt to tamper with the operation or Entry process of the Contest or violate these Terms and Conditions will be disqualified by Prequel in its sole discretion.

Your entry into this Contest constitutes Your agreement to release and hold harmless Prequel and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Contest and/or the: (i) Winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; (ii) any type of technical failure; (iii) the unavailability or inaccessibility of any transmissions, phone, or Internet service; (iv) unauthorized intervention in any part of the entry process or the Contest; (v) electronic error or human error in the promotion administration or the processing of Entries.

This Contest and the Terms and Conditions are governed by the laws of the State of Delaware (US) without respect to conflict of law doctrines.

You agree, as a condition of participating in this Context, that if any disputes cannot be resolved between You and Prequel, and if causes of action arise out of or are connected with this Contest, they shall be individually resolved exclusively before the courts of the State of Delaware (US), without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney's fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Contest). The participant waives all rights to have damages multiplied or increased.
